Affiliate Agreement for Baron Property Group LTD
This Affiliate Agreement (“Agreement”) is made and entered into by and between Baron Property Group LTD (“Company”) and the individual or entity (“Affiliate”) who accepts these terms electronically. By participating in the Affiliate Program, you agree to be bound by the following terms and conditions.
1. Purpose
The purpose of this Agreement is to allow Affiliates to promote the non-fungible tokens (NFTs) issued by Baron Property Group LTD (“Baron NFTs”) and earn commissions based on the sales they refer. Affiliates must comply with all applicable laws, regulations, and ethical standards while promoting Baron NFTs.
2. Relationship Between Company and Affiliate
Affiliates are independent contractors and not employees, agents, or representatives of Baron Property Group LTD. Affiliates are not entitled to any employee benefits, compensation, or insurance under this Agreement.
3. Payment Structure
Affiliates will earn commissions through the Baron smart contract system, which operates autonomously. Affiliates will be paid directly by the customer upon the purchase of Baron NFTs via
the smart contract. Baron Property Group LTD does not directly issue payments to Affiliates. The payment structure is as follows:
- – 10% on direct referrals (Level 1)
- – 10% on referrals made by direct referrals (Level 2)
4. Promotional Guidelines and Responsibilities
- – No Investment Language: Affiliates must not promote Baron NFTs as investments or securities. Affiliates must avoid using terms such as “investment,” “profits,” “returns,” or any language that may suggest or imply that Baron NFTs are investment products.
- – Compliance with Laws: Affiliates must comply with all relevant laws, including but not limited to advertising regulations, consumer protection laws, and anti-fraud laws. Affiliates must also adhere to platform-specific policies (e.g., social media advertising guidelines).
- – Truthful Marketing: Affiliates must only make truthful and factual statements about Baron NFTs. Misleading claims or deceptive marketing practices are strictly prohibited.
- – Earnings Reporting: It is the Affiliate’s sole responsibility to report and pay any taxes or governmental fees that may be required based on their earnings from the Affiliate Program. Baron Property Group LTD is not responsible for providing tax documentation, reporting earnings, or completing any filings on behalf of the Affiliate in any jurisdiction.
5. Restrictions
Affiliates may not misrepresent their relationship with Baron Property Group LTD or claim to be endorsed, approved, or otherwise affiliated with the Company beyond the scope of this Agreement. Affiliates may not use unauthorized branding, logos, or other intellectual property of Baron Property
Group LTD without explicit written permission.
6. Termination
Either party may terminate this Agreement at any time by providing written notice. Upon termination, the Affiliate must cease all promotional activities related to Baron NFTs and remove any materials containing references to the Company.
7. Limitation of Liability
Baron Property Group LTD is not liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement, including but not limited to lost profits or interruption of services.
8. Dispute Resolution
This Agreement shall be governed by the laws of Belize, and any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the laws of Belize.
9. Amendments
Baron Property Group LTD reserves the right to modify or amend this Agreement at any time. Affiliates will be notified of any changes, and continuing to participate in the Affiliate Program after any modifications constitutes the Affiliate’s acceptance of the updated terms.
10. Entire Agreement
This Agreement constitutes the entire understanding between the Company and the Affiliate and supersedes all prior agreements or understandings, whether written or oral.
By participating in the Baron Property Group LTD Affiliate Program, you agree to the terms and conditions outlined above.
